2. ORDERING

The Customer may place an order over the Internet on the Veegreen.fr website.

A Customer wishing to place an order on the Veegreen.fr Website must necessarily order according to the following procedure:

• Create a "customer account" in which they will enter all the requested details,

• Build an online "cart" by selecting all the chosen Products,

• Accept these general terms of sale,

• Confirm their order after checking it,

• Make the payment under the conditions provided.

Any order implies unrestricted and unconditional acceptance of these general terms of sale. Any order constitutes acceptance of the prices and descriptions of the products available for sale.

The contractual information is presented in French and is confirmed at the latest at the time the Customer validates the order.

Once the Customer has validated their order, they acknowledge having accepted, with full knowledge of the facts and without reservation, these general terms of sale, the prices, volumes and quantities of products offered for sale and ordered. The sale shall be considered final only after VEEGREEN sends the Customer confirmation of acceptance of the order by email and after VEEGREEN has collected the full payment. It is the Customer's responsibility to check the accuracy of the order and to immediately report any error. Any order placed on the Website constitutes the formation of a contract concluded at a distance between the Customer and VEEGREEN.

VEEGREEN's offers of Products are valid within the limit of available stock.

When an ordered Product is unavailable and/or out of stock, the customer is informed as soon as possible (within eight days at the latest) and is also informed of the availability date of the out-of-stock Product by email or by telephone or, in the case of an order for several Products, on the invoice and/or delivery note of the shipped Products. VEEGREEN cannot under any circumstances be held liable for the unavailability of a Product.

In the event of unavailability and/or stock-out of one or more Product(s), the Customer may request, at their choice, a refund of the unavailable or out-of-stock product, or a credit note for the amount of the price of the unavailable or out-of-stock product to be used for a later order. Only the permanent discontinuation of a Product by VEEGREEN's suppliers results in its removal from our sales offer. VEEGREEN will then remove this Product from the Website as soon as possible.

VEEGREEN reserves the right to cancel or refuse any order from a Customer with whom a dispute regarding payment of a previous order exists.

Unless proven otherwise, the data recorded by VEEGREEN constitute proof of all transactions carried out by VEEGREEN and its customers.

Contracts concluded between the Customer and VEEGREEN via the Website are archived for a period of five years. The Customer may access archived contracts by requesting them by email at the following address:

3. PRICES AND PROMOTIONAL OFFERS

VEEGREEN reserves the right to change its prices at any time but undertakes to apply the prices in force as shown at the time of the order, subject to availability on that date. Offers and Products are supplied at the prices in force shown on the Website at the time VEEGREEN registers the order.

Product prices are indicated in euros, including all taxes, and do not include delivery charges, which are billed additionally and shown before the order is validated, nor packaging and order processing fees.

Promotional offers are valid for the period of validity they state and as long as they are displayed on the Website, and within the limit of available stock. Orders may only be accepted if the prices shown comply with those of the offer in force.

The price is payable in cash, in full and in a single payment on the day the Customer places the order, EITHER by secure payment by Visa or Mastercard bank card (American Express or JCB cards are not accepted). At no time may the amounts paid be considered as deposits or advance payments. No cash-on-delivery shipment will be accepted, for any reason whatsoever. If one or more taxes or contributions, in particular environmental ones, are introduced or changed, whether upwards or downwards, this change may be passed on to the selling price of the Products.

All orders are invoiced in euros and payable in euros.

In the event of non-compliance with the payment conditions, VEEGREEN reserves the right to suspend or cancel the delivery of the Customer's ongoing orders.

4. DELIVERY

Delivery consists of the transfer to the Customer of physical possession or control of the Product.

4-1. Costs for making Products available

For each order, a flat-rate contribution to the costs of making the Products available is requested, which includes postage, packaging and order processing. Parcels are prepared and packed by VEEGREEN in a closed, sturdy packaging suitable for the contents and for carriers' requirements.

Delivery by Colissimo:

• for metropolitan France: postage costs are €6 incl. VAT, and are free for orders over €79 incl. VAT

• for the French overseas departments and territories (DOM TOM): postage costs are €12 incl. VAT, regardless of the order amount.

• for Belgium, the United Kingdom, Spain, Italy, Portugal, the Netherlands and Switzerland: postage costs are €15 incl. VAT, regardless of the order amount.

Parcels are sent via the Colissimo Suivi service of La Poste, which undertakes to deliver within forty-eight (48) hours throughout metropolitan France, and offers the Customer the option of collecting the ordered products at the nearby Post Office if they are absent from the initial delivery address when the postman calls. If the Customer is absent on the day of delivery, the postman leaves a notice of visit in their letterbox, allowing them to collect their parcel from the Post Office during opening hours, within fifteen days. The Customer can track their order using the Colissimo number sent to them by email on the day their order is dispatched.

For availability reasons, an order may be delivered to the Customer in several shipments. The Customer then pays only one delivery charge.

4-2. Product delivery times

VEEGREEN undertakes to make its best efforts to deliver the Products ordered by the Customer as soon as possible. However, if the ordered Products have not been delivered within fifteen (15) days of placing the order, the Customer must inform VEEGREEN as soon as possible, by telephone or by email. VEEGREEN will contact the carrier so that the carrier launches an investigation, which may last up to twenty-one (21) days. If the Products are found, they will be redirected to the Customer's home. If the Products are not found at the end of the investigation, the products will be deemed lost and VEEGREEN will then be able to send the Customer replacement Products, at no additional cost to the Customer. If the ordered Products were no longer available, VEEGREEN will refund the amount of the Products deemed lost by bank transfer. If the Products are still available but their selling price on the Website has changed, VEEGREEN will apply the selling prices in effect at the time of the order.

In any event, if the Products have not been delivered within ten (10) days after the indicative delivery date, for any reason other than force majeure or the Customer's act, the sale may be terminated at the Customer's written request under the conditions provided in Articles L. 216-2 to L. 216-4 of the French Consumer Code. The sums paid by the Customer will then be refunded no later than fourteen days after the date of termination of the contract, without any compensation or deduction.

4-3. Delivery address

Products are delivered to the address provided by the Customer when placing the order. The Customer must ensure its accuracy. Any parcel returned to VEEGREEN due to an incorrect or incomplete delivery address will be re-sent at the Customer's expense, and VEEGREEN cannot be held responsible for any inability to deliver the order. If the Customer wishes to have delivery to two distinct delivery addresses, they must place two separate orders, with the corresponding delivery charges.

4-4. Receipt of the order

Upon receipt of the order, the Customer must check the condition of the delivered products. In the event of visible defects, the Customer benefits from the right of return under the conditions provided in these general terms.

Any anomaly concerning delivery (i.e.: missing or damaged Products, damaged parcels) must imperatively be indicated, first, on the delivery note and in the form of handwritten reservations accompanied by the Customer's signature to the carrier. Subsequently, any anomaly must be notified to VEEGREEN as soon as possible after receipt of the Products:

• by ordinary mail to the following address: VEEGREEN, 3 Impasse Jules Romains, 43200 Yssingeaux;

• by email to the following address: contact@veegreen.fr;

• by telephone at 06.48.78.77.53, Monday to Friday from 10 a.m. to 7 p.m.

This check is considered completed as soon as the Customer, or a person authorised by them, has signed the delivery note.

VEEGREEN reserves the right to ask the Customer to return the damaged Product(s). In the event of abnormal or abusive returns, VEEGREEN reserves the right to refuse to fulfil any subsequent order from the Customer.

Damaged parcel

If, at the time of delivery of their parcel by the postman, the Customer finds that it is damaged, they may, at their choice, refuse the parcel, which will then be returned directly to VEEGREEN, or accept the parcel while noting the damage to its packaging.

If the Customer finds that the packaging of their parcel to be delivered to the letterbox is damaged, they may, provided the parcel has not been opened, refuse the parcel by taking it back to the Post Office, no later than the working day following its delivery.

The Customer can check the return procedures for damaged parcels directly on the La Poste website by clicking here.

Returns marked "NPAI"

Returns marked "NPAI" (Not Known at This Address) are parcels returned by the delivery service provider with the notation: "Does not live at the indicated address". After receipt and acceptance of the parcel returned to VEEGREEN's services, the total amount of the order, less postage costs, will be refunded to the customer by postal cheque, which will be posted within forty-eight (48) hours of VEEGREEN receiving the parcel. The Customer may then place their order again, making sure the delivery address provided is correct.

Returns marked "unclaimed"

Returns marked "unclaimed" are parcels that were not collected by Customers at the Post Office within fifteen (15) days from the notice of visit.

4-5. Orders delivered to the DOM TOM and Switzerland

Orders shipped to the French overseas departments and territories (DOM TOM) and to Switzerland are subject to additional local taxes. Taxes are to be paid by the Customer upon receipt of the parcel, according to the laws in force in the destination department or territory. It is the Customer's responsibility to check with the local authorities regarding customs duties, local taxes and other import duties that may be charged to them, as these duties do not fall under VEEGREEN's responsibility.
The Products marketed by VEEGREEN comply with French regulations. It is therefore the Customer's responsibility to check with the local authority of their country regarding any import and use restrictions that may apply to the ordered Products.
VEEGREEN cannot be held responsible for the purchase of a Product considered non-compliant in a given country, when that Product complies with French regulations.

5. RIGHT OF WITHDRAWAL

Pursuant to the provisions of Article L. 221-18 of the French Consumer Code, the Customer has a period of fourteen (14) days from receipt of the order to exercise their right of withdrawal from VEEGREEN, without having to give reasons or pay any penalty, for the purpose of a refund, provided that the Products are returned in their original packaging, complete (i.e.: accessories, leaflet) and in perfect condition, allowing them to be resold. Damaged, soiled or incomplete Products will not be taken back. The Products must be returned within fourteen (14) days of notifying VEEGREEN of the Customer's decision to withdraw. This period starts from the beginning of the first hour of the first day and ends at the expiry of the last hour of the last day of the period. If this period expires on a Saturday, a Sunday or a public or non-working holiday, it is extended until the first following working day.

The Product in its original packaging must be sent to the following address:

COPE INTERNATIONAL SAS (VEEGREEN)

3 IMPASSE JULES ROMAINS

43200 YSSINGEAUX

The Customer must imperatively include the withdrawal form below with their parcel:

I (first and last name): ______________________________ hereby notify you of my withdrawal from the contract relating to order number: ____________________________

Ordered on (dd/mm/yy): _____________ received on (dd/mm/yy): _________________

Customer name: ____________________
Customer address: ___________________

Customer signature (only if this form is notified on paper): ______________________

Date: ____________________

It is recommended to return the parcel by tracked mail, in case it is lost in the postal service, as VEEGREEN cannot be held liable in this respect.

6. REFUND

If the order is not received within the delivery times mentioned above, for any reason other than force majeure or the Customer's act, the sale may be terminated at the Customer's written request, under the conditions provided in Article L. 216-2 of the French Consumer Code. The sums paid by the Customer will then be refunded no later than fourteen (14) days after the date on which the Customer terminates the contract, without any compensation or deduction.

In the event of unavailability of the ordered Product, the Customer who has opted for a refund will be reimbursed the sums paid no later than thirty (30) days after their payment.

In the event of exercising the right of withdrawal within the period referred to in Article 5, only the price of the purchased Product(s) and the delivery charges are refunded; return costs remain payable by the Customer. The Customer will be refunded within fourteen (14) days of VEEGREEN receiving the Products.

The refund will be made by bank cheque, sent by post.

VEEGREEN reserves the right to cancel and refund all orders placed by a professional.

7. PAYMENT METHODS

This is an order with a payment obligation, meaning that placing the order implies payment by the Customer.

To pay for their order, the Customer may choose from all the payment methods made available by VEEGREEN and listed on the Website, namely:

• by bank card;

The Customer guarantees to VEEGREEN that they have any authorisations that may be required to use the payment method they have chosen when validating the order form. VEEGREEN reserves the right to suspend all order processing and any delivery in the event of refusal of payment authorisation by bank card from officially accredited bodies or in the event of non-payment. VEEGREEN reserves in particular the right to refuse to make a delivery or to fulfil an order from a Customer who has not fully or partially paid a previous order or with whom a payment dispute is ongoing.

VEEGREEN does not keep personal or financial information in its database when processing the Customer's payment.

Payment by bank card

Payment by bank card is made directly online through a secure transaction.

The Customer enters, in the field provided, their bank card number without spaces between the digits, its expiry date, as well as the last three digits of the code on the back of the card.

The bank card is generally debited at the time the order is dispatched.

8. TRANSFER OF OWNERSHIP – TRANSFER OF RISKS

The transfer of ownership of VEEGREEN's products to the customer takes effect only after full payment of the price by the Customer, regardless of the delivery date of the said Products.

Regardless of the date of transfer of ownership of the Products, the transfer of the risks of loss and damage relating to them will only take place when the Customer physically takes possession of the Products. The Products therefore travel at the risk and peril of VEEGREEN.

9. LIABILITY

The Products sold on the Website comply with the regulations in force in France.

The Products supplied by VEEGREEN automatically benefit, without additional payment and independently of the right of withdrawal:

Article 1641 of the French Civil Code:

Article 1648 of the French Civil Code:

“The action resulting from redhibitory defects must be brought by the purchaser within two years from the discovery of the defect.”

In order to exercise its rights, the Customer must notify VEEGREEN in writing of the non-conformity of the Products within a maximum period of two (2) years from delivery of the Products, or of the existence of hidden defects within a maximum period of two (2) years from their discovery.

14. FORCE MAJEURE

Any circumstances beyond the control of the parties that prevent the performance of their obligations under normal conditions shall be considered grounds for exemption from the parties' obligations and shall result in their suspension.

The party invoking the circumstances referred to above must immediately notify the other party of their occurrence, as well as of their cessation.
